These Terms of Service (“Terms”) govern access to and use of the Knuggzilla website, applications, and related services (collectively, the “Platform”), operated by Knuggzilla (“Knuggzilla,” “Company,” “we,” “us,” or “our”).

By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Platform.

1. Age Eligibility

The Platform — including all community features, product listings, marketplace directories, and advertising content — is intended solely for individuals twenty-one (21) years of age or older. This restriction applies to all areas of the Platform without exception.

By accessing or using the Platform, you represent and warrant that:

You are at least 21 years of age; and

You have the legal capacity to enter into these Terms.

Knuggzilla does not knowingly permit access by individuals under 21. We reserve the right to verify age and to immediately restrict or terminate access upon any suspected violation of this requirement. Use of the Platform by anyone under 21 is strictly prohibited.

2. Platform Scope and Purpose

Updated to accurately reflect Knuggzilla’s role as a cannabis information, discovery, and directory platform.

Knuggzilla is a cannabis information, community, and product discovery platform. The Platform enables users to browse, discover, and learn about cannabis products, dispensaries, brands, and industry trends. Licensed cannabis businesses may list their businesses, products, and services on the Platform for discovery purposes.

Knuggzilla operates as an information directory and referral platform. Specifically:

Knuggzilla displays product listings, menus, pricing, and photos provided by licensed dispensary partners

Product listings include external links (“Visit Site” or “Order” buttons) that direct users to the dispensary’s own website or ordering platform

All cannabis transactions — including purchase, payment, fulfillment, and delivery — occur entirely on the dispensary’s own platform and are governed solely by that dispensary’s terms, policies, and applicable law

Knuggzilla does not process, broker, intermediate, or facilitate cannabis transactions

Knuggzilla does not accept payment for cannabis products

Knuggzilla does not take possession of, ship, or deliver cannabis products

Knuggzilla does not verify the accuracy of product descriptions, pricing, or availability provided by listed dispensaries

Knuggzilla also expressly does not:

Provide medical, legal, or regulatory advice

Endorse or warrant the quality, safety, or legality of any listed product or business

Guarantee that any product listed on the Platform is available for purchase in your jurisdiction

All content on the Platform is provided for general informational and discovery purposes only.

3. Federal and State Law Disclaimer

Cannabis remains classified as a Schedule I controlled substance under United States federal law. State and local laws regarding cannabis vary significantly and are subject to change without notice.

You acknowledge and agree that:

Accessing or using the Platform — including browsing product listings or clicking external links — does not imply that cannabis-related activity is lawful in your jurisdiction

You are solely responsible for understanding and complying with all federal, state, and local laws applicable to you before accessing any cannabis product or service through an external link

Knuggzilla makes no representations regarding the legality of cannabis, cannabis products, or cannabis-related activity in any jurisdiction

The presence of a dispensary or product listing on the Platform does not constitute verification that the dispensary is licensed, compliant, or currently authorized to sell in your area

4. Restricted and Non-Compliant Jurisdictions

Strengthened to address marketplace and product listing context.

The Platform, including its product discovery and marketplace directory features, is not intended to promote, facilitate, or encourage cannabis-related activity in jurisdictions where such activity is illegal under applicable law.

If you are located in a jurisdiction where cannabis is prohibited (“Non-Compliant Jurisdiction”), you must not:

Use the Platform to browse, locate, or seek cannabis products or dispensary services

Click external links to dispensary websites for the purpose of purchasing cannabis

Rely on any Platform content as authorization, encouragement, or guidance for cannabis-related activity in your jurisdiction

By accessing the marketplace directory or product listings on the Platform, you represent that you are located in a jurisdiction where cannabis use is lawful under applicable state and local law, and that you are doing so in compliance with all laws applicable to you.

Knuggzilla reserves the right to restrict access to marketplace features, limit content visibility, or disable accounts in jurisdictions deemed non-compliant or high-risk.

5. Account Registration and Accuracy

Certain features require account registration. You agree to provide accurate, current, and complete information, maintain the accuracy of your account information, and safeguard your login credentials. Knuggzilla may suspend or terminate accounts associated with false, misleading, or unverifiable information.

5A. Third-Party Login Services (e.g., Facebook Login, Google Login) [NEW]

Knuggzilla may offer the option to register or log in using third-party authentication services, including Facebook Login (provided by Meta Platforms, Inc.) and Google Login (provided by Google LLC). By using a third-party login option, you acknowledge and agree that:

You are also subject to the terms of service and privacy policy of that third-party provider

Knuggzilla’s collection and use of information received through third-party login services is governed by our Privacy Policy at knuggzilla.com/privacy-policy

Knuggzilla will receive limited profile information from the provider solely for creating and managing your Knuggzilla account

Knuggzilla will not request, collect, or store your Facebook, Instagram, Google, or other third-party login credentials

You may disconnect a Facebook Login or Google Login at any time through your Knuggzilla account settings.

6. Marketplace Directory and Product Listings

6A. Nature of the Marketplace

Knuggzilla’s marketplace is an informational directory that allows licensed cannabis businesses (“Vendors”) to display product listings, menus, pricing, and promotional content. The marketplace is a discovery tool — not a point of sale. Knuggzilla is not a retailer, wholesaler, or distributor of cannabis products.

When you click an external link within a product listing (such as a “Visit Site” or “Order” button), you are leaving the Knuggzilla Platform and entering a third-party website. Knuggzilla is not a party to any transaction that occurs on a third-party website and bears no responsibility for the accuracy, availability, pricing, or legality of products offered there.

6B. Vendor Eligibility and Responsibilities

Vendors who list products or services on the Platform represent and warrant that:

They hold all valid and current licenses required by applicable state, county, and municipal law to sell cannabis and cannabis products in their operating jurisdiction

All product information, descriptions, pricing, and images are accurate, current, and compliant

with applicable advertising and labeling laws

They will promptly update or remove listings that are no longer accurate, available, or compliant

They will not list products intended for sale in jurisdictions where cannabis is prohibited

They are solely responsible for all transactions, customer interactions, and legal obligations arising from sales made through their own platforms

Knuggzilla reserves the right to remove any listing at any time for any reason, including non-compliance with these Terms or applicable law, without notice or refund of listing fees.

6C. Listing Fees

Vendors may be charged a flat administrative fee for access to the marketplace directory and associated platform tools. This fee covers platform administration, hosting, and directory services only. It does not constitute a commission, revenue share, or participation in any cannabis transaction. Listing fees are non-refundable unless otherwise stated in a separate vendor agreement.

6D. No Endorsement of Listed Products or Vendors

The presence of any business, product, or service on the Platform does not constitute an endorsement, recommendation, or warranty by Knuggzilla. Knuggzilla does not independently verify the accuracy of product descriptions, the quality or safety of cannabis products, the licensing status of any vendor, or the compliance of any listed product with applicable law. Users are solely responsible for conducting their own due diligence before engaging with any vendor or product listed on the Platform.

7. Advertising

Knuggzilla may display paid advertising content from licensed cannabis businesses and cannabis-adjacent brands on the Platform. The following terms govern all advertising:

All paid advertising is clearly labeled as advertising or sponsored content

Advertisers must hold all licenses required by applicable law to advertise cannabis products in their jurisdiction

Knuggzilla does not endorse, warrant, or guarantee any advertised product, brand, or service

Advertising content is the sole responsibility of the advertiser and must comply with all applicable advertising laws and regulations, including those governing cannabis advertising

Knuggzilla reserves the right to reject, remove, or modify any advertising content at any time at its sole discretion

Clicking an advertisement may direct you to a third-party website — Knuggzilla is not responsible for the content or practices of third-party advertising destinations

Advertising fees paid to Knuggzilla are for Platform advertising services only and do not constitute participation in any cannabis transaction.

8. Role Labels and Verification

Knuggzilla may assign contextual labels (e.g., “Budtender,” “Verified,” “Licensed Vendor”) to certain accounts. You acknowledge that such labels are informational only, do not constitute licensure, certification, or endorsement, and that a “Verified” or “Licensed Vendor” label does not independently confirm a current, valid cannabis license. Verification status may be revoked at Knuggzilla’s discretion.

9. User Content and License Grant

You may submit content including text, data inputs, reviews, feedback, or other materials (“User Content”). By submitting User Content, you grant Knuggzilla a non-exclusive, worldwide, royalty-free, perpetual, sublicensable license to use, host, aggregate, analyze, modify, and display such content for Platform operation, analytics, research, and improvement. You represent and warrant that you own or have the necessary rights to submit the content and that it does not violate applicable laws or third-party rights.

10. Prohibited Conduct

You agree not to:

Submit false, deceptive, or misleading information

Misrepresent your identity, role, licensing status, or credentials

Manipulate Platform metrics, gamification systems, or rewards

Engage in unlawful, abusive, or harassing behavior

Use the Platform to facilitate illegal cannabis activity or to purchase cannabis in a jurisdiction where it is prohibited

List or advertise cannabis products without holding the required licenses under applicable law

Submit product listings that are inaccurate, misleading, or designed to deceive users

Solicit, collect, store, or use the Facebook, Instagram, or other third-party login credentials of any other user, or attempt to access any third-party access tokens, user IDs, or authentication secrets other than your own [Meta Platform Terms §6(a)(iii)-(iv)]

Violations may result in immediate suspension or termination of your account and/or vendor listing without notice or refund.

11. Gamification, Recognition, and Rewards

Knuggzilla may offer points, badges, access privileges, events, or other recognition mechanisms. All rewards are non-monetary, have no cash value, are non-transferable unless expressly stated, and may be modified, suspended, or discontinued at any time. Participation does not guarantee receipt of any reward.

12. Promotions, Drawings, and Events

Promotions, giveaways, or drawings are subject to additional terms disclosed at the time of the promotion. Unless otherwise stated, no purchase is necessary, eligibility is subject to age (21+), location, and legal compliance, and winners may be required to verify eligibility and identity.

13. Intellectual Property

All Platform content, trademarks, logos, and proprietary materials are owned by or licensed to Knuggzilla. Vendor-submitted product listings, images, and descriptions remain the intellectual property of the respective vendor, subject to the license granted to Knuggzilla for Platform display. Unauthorized use of Knuggzilla’s intellectual property is strictly prohibited.

13A. DMCA / Copyright Infringement Notices

Knuggzilla complies with the Digital Millennium Copyright Act (DMCA). If you believe content on the Platform infringes your copyright, submit a written notice to our designated agent containing:

A description of the copyrighted work you claim has been infringed

A description of the infringing material with sufficient detail to locate it

Your contact information (name, address, telephone number, and email address)

A statement of good faith belief that the disputed use is not authorized

A statement under penalty of perjury that the notice is accurate and you are authorized to act

Your physical or electronic signature

Submitting a false or misleading DMCA notice may expose you to legal liability.

14. Third-Party Content and External Links

The Platform contains links to third-party websites including dispensary websites, ordering platforms, and advertiser destinations. When you click an external link, you leave the Knuggzilla Platform. Knuggzilla does not control, operate, or endorse third-party websites, is not responsible for any products or services offered there, is not a party to any transaction you enter into on a third-party website, and disclaims all liability arising from your use of third-party websites. You access third-party websites at your own risk.

15. Disclaimer of Warranties

THE PLATFORM — INCLUDING ALL PRODUCT LISTINGS, MARKETPLACE DIRECTORY CONTENT, ADVERTISING, AND EXTERNAL LINKS — IS PROVIDED “AS IS” AND “AS AVAILABLE.” KNUGGZILLA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF

MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OF LISTED INFORMATION, AND NON-INFRINGEMENT. KNUGGZILLA DOES NOT WARRANT THAT ANY PRODUCT LISTING IS ACCURATE, CURRENT, AVAILABLE, OR LAWFUL IN YOUR JURISDICTION.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KNUGGZILLA SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING DAMAGES ARISING FROM YOUR RELIANCE ON PRODUCT LISTINGS, YOUR USE OF EXTERNAL LINKS, OR ANY TRANSACTION ENTERED INTO ON A THIRD-PARTY WEBSITE. KNUGGZILLA’S TOTAL LIABILITY SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100) OR THE AMOUNT PAID TO KNUGGZILLA IN THE PRECEDING TWELVE (12) MONTHS.

17. Indemnification

You agree to indemnify and hold harmless Knuggzilla from claims arising out of:

Your use of the Platform, including the marketplace directory and product listings

Any transaction you enter into on a third-party website accessed through the Platform

Your violation of these Terms or applicable law

Vendor listings or advertising content you submit to the Platform

18. Suspension and Termination

Knuggzilla may suspend or terminate access, vendor listings, or advertising at any time, with or without notice, for compliance, legal, or operational reasons. Listing fees and advertising fees are non-refundable upon termination for policy violations.

19. Changes to Terms

Knuggzilla may revise these Terms at any time. Continued use of the Platform constitutes acceptance of the updated Terms. Vendors are responsible for reviewing Terms periodically and ensuring continued compliance.

20. Governing Law and Venue

These Terms shall be governed by the laws of the United States and the laws of the state in which

Knuggzilla is headquartered, without regard to conflict-of-law principles.
